These Terms of Service ("Terms") constitute a legally binding agreement between you and Orange Ray Projects SRL (VAT Number: RO49059400), a company registered in Romania ("Company," "we," "us," or "our"), regarding your access to and use of our LinkedIn content generation platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using our Service, you:

• Confirm that you are at least 16 years of age
• Have the legal capacity to enter into binding contracts
• Agree to comply with these Terms and all applicable laws and regulations
• Acknowledge that you have read and understood our Privacy Policy

2. Description of Service

Our Service provides AI-powered LinkedIn content generation tools that help users create personalized LinkedIn posts based on their professional profile, writing style, and content preferences. The Service includes:

• Profile creation and personalization
• AI-generated LinkedIn post creation
• Content archiving and management
• Subscription-based access to premium features

The Service uses artificial intelligence technology to generate content suggestions. While we strive for quality and relevance, AI-generated content may require your review and editing before publication.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account by providing:

• A valid email address
• Authentication credentials (password, OAuth, or magic link)
• Accurate and complete profile information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

3.3 Account Eligibility

You may not create an account if:

• You are under 16 years of age
• You have been previously banned from the Service

3.4 Account Termination by User

You may terminate your account at any time by contacting our support team. Upon termination:

• Your access to paid features will cease immediately
• Your data will be handled according to our Privacy Policy
• No refunds will be issued for unused subscription time (see Section 5.5)

4. User Responsibilities and Conduct

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service to create content that is defamatory, harassing, abusive, fraudulent, or discriminatory

• Attempt to circumvent usage limits, rate limiting, or access controls
• Share your account credentials with others
• Use automated scripts or bots to access the Service (except through official APIs if provided)
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Interfere with or disrupt the Service's functionality or security
• Use the Service to send spam or unsolicited communications
• Impersonate others or misrepresent your affiliation with any person or entity

Content Standards:

• You are solely responsible for the content you generate and publish using our Service
• Generated content must comply with LinkedIn's terms of service and community guidelines
• You must not use the Service to create misleading, false, or deceptive content

4.2 Compliance with Platform Policies

When using generated content on LinkedIn or other platforms, you must comply with those platforms' terms of service, community guidelines, and content policies. We are not responsible for enforcement actions taken by third-party platforms.

5. Plans and Payments

5.1 Available Plans

We offer various plans with different features and usage limits:

• Free Plan: Limited access to basic features with usage restrictions
• Paid Plans: Enhanced features and higher usage limits

Current pricing, features, and usage limits for each plan are available on our website.

5.2 Payment Structure

Our paid plans operate on a one-time payment basis with no automatic renewals:

• You can purchase access for 1 month, 3 months, 6 months, or 1 year
• Each purchase grants you access to paid features for the selected duration
• At the end of your access period, your account will automatically revert to the free plan
• No automatic charges - you must manually purchase a new plan to continue using paid features

5.3 Payment Processing

• All payments are processed securely through our payment processor, Stripe
• By purchasing a paid plan, you authorize us to charge your payment method for the selected period
• Prices are stated in the currency shown at checkout and include applicable taxes where required
• Each payment is a one-time transaction for the duration you select

5.4 Plan Expiration

When your paid plan period ends:

• You will receive notification before expiration (typically 3 days in advance)
• Your access to paid features will cease on the expiration date
• Your account will automatically revert to the free plan
• Your data (profile, saved posts) will be preserved
• You can purchase a new plan at any time to regain access to paid features

5.5 Plan Extensions and Upgrades

• You may purchase a new plan period at any time, even before your current period expires
• If you purchase a new plan before expiration, the new period will begin after your current period ends (time is added, not replaced)
• You may upgrade to a longer duration at any time
• No refunds or credits are provided if you purchase a longer plan before your current plan expires

5.6 Taxes

You are responsible for all applicable taxes (VAT, sales tax, etc.) associated with your purchase, except for taxes based on our net income. If required by law, we will collect and remit applicable taxes.

6. Usage Limits and Fair Use

6.1 Rate Limiting

To ensure fair access and system stability, we implement usage limits:

Free Users:

• Limited to one generation per email address per 365-day period
• Additional rate limiting based on IP address and browser fingerprint

Paid Users:

• Up to 10 generation batches per 2-hour rolling window
• Reasonable usage consistent with your subscription plan

6.2 Fair Use Policy

Excessive or abusive usage that negatively impacts Service performance or availability is prohibited. We reserve the right to:

• Suspend or throttle accounts engaging in excessive usage
• Investigate unusual usage patterns
• Terminate accounts that violate fair use principles

7. Intellectual Property Rights

7.1 Service Ownership

The Service, including its design, code, features, trademarks, logos, and content (excluding user-generated content), is owned by Orange Ray Projects SRL and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service.

7.2 User Content Ownership

You retain all ownership rights to:

• Profile information and data you provide
• Writing samples and input data
• Content you generate using the Service

7.3 License to Use Generated Content

Subject to these Terms and your compliance therewith, we grant you a worldwide, non-exclusive, royalty-free license to use, modify, and publish content generated through the Service for your personal or commercial purposes.

7.4 AI-Generated Content Disclaimer

Important Notice Regarding AI-Generated Content:

• Content is generated using artificial intelligence technology
• AI-generated content may contain errors, inaccuracies, or inappropriate material
• You are solely responsible for reviewing, editing, and verifying content before publication
• We do not guarantee the accuracy, quality, or suitability of generated content
• We are not liable for any consequences resulting from your use of AI-generated content

7.5 License Grant to Company

By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

• Store and process your input data to provide the Service
• Use aggregated, anonymized data to improve our AI models and Service
• Display your generated content within your account interface

We will not share, sell, or publicly display your content without your permission, except as necessary to provide the Service or as required by law.

7.6 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use such feedback without any obligation to compensate you.

8. Third-Party Services and Links

• Results obtained from using the Service

9.2 AI Content Disclaimer

We specifically disclaim any warranties regarding:

• The accuracy, completeness, or usefulness of AI-generated content
• The suitability of generated content for any particular purpose
• The absence of errors, bias, or inappropriate material in generated content

You acknowledge that AI technology has inherent limitations and you use generated content at your own risk.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORANGE RAY PROJECTS SRL, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

Indirect Damages:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Loss of goodwill or reputation
• Service interruptions or data loss

Direct Damages:

• In no event shall our total liability exceed the amounts paid by you for the Service in the 12 months preceding the claim

9.4 User Responsibility

You acknowledge that:

• You are solely responsible for content you create, edit, and publish
• You bear all risks associated with using AI-generated content
• You must review and verify content before publication
• We are not responsible for consequences of content you publish on third-party platforms

10. Indemnification

You agree to indemnify, defend, and hold harmless Orange Ray Projects SRL, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you generate, modify, or publish using the Service
• Your violation of any applicable laws or regulations

11. Modifications to the Service and Terms

11.1 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any feature of the Service at any time
• Change pricing, plans, or usage limits with reasonable notice
• Update our AI models and algorithms

We will make reasonable efforts to notify you of material changes via email or Service notifications.

11.2 Terms Modifications

We may update these Terms from time to time. Changes will be effective:

• Immediately upon posting for non-material changes
• After 30 days' notice for material changes

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

12. Termination

12.1 Termination by Company

We may suspend or terminate your account and access to the Service, with or without notice, if:

• You violate these Terms or our policies
• You engage in fraudulent, abusive, or illegal activities
• Your account remains inactive for an extended period
• We discontinue the Service
• Required by law or government authority

12.2 Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• You remain liable for all amounts due up to the termination date
• We may delete your account data in accordance with our Privacy Policy
• Sections of these Terms that by their nature should survive termination will continue to apply

12.3 No Refunds Upon Termination

If we terminate your account for breach of these Terms, you are not entitled to any refund of prepaid subscription fees.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles. You also agree to comply with all applicable EU regulations, including GDPR.

13.2 Jurisdiction

Subject to the arbitration provisions below (if applicable), any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Romania.

13.3 Informal Resolution

Before pursuing formal legal action, you agree to first contact us to attempt to resolve the dispute informally. We commit to working with you in good faith to reach a fair resolution.

13.4 EU Consumer Rights

If you are a consumer resident in the European Union, nothing in these Terms affects your statutory rights under EU consumer protection laws, including your right to bring legal proceedings in your country of residence.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Orange Ray Projects SRL regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, war, terrorism, pandemics, internet service failures, or government actions.

14.6 Language

These Terms are drafted in English. In case of any translation, the English version shall prevail.

14.7 Notices

Notices to you may be sent via email to the address associated with your account or through in-Service notifications. Notices to us should be sent to the contact information provided in Section 15.
